Bali Recovery Center: Evidence Required Before Partner Outreach

Evidence gate 1: sponsor and entity
Before public partner outreach, assemble:
- legal name, jurisdiction, registration number, and beneficial ownership of every project entity;
- directors, officers, promoters, and related parties;
- organization chart and capitalization table;
- bank and signing authority;
- prior ventures, disputes, insolvencies, and conflicts; and
- written authority showing who can speak for the project.
An informal team, brand name, or domain is not the same as an investable entity.
Evidence gate 2: site and land rights
Document the exact site and the project’s legally reviewed right to use it:
- title or lease records and counterparty identity;
- survey, access, utilities, easements, and encumbrances;
- zoning and spatial-use conformity;
- foreign-ownership or control restrictions;
- lease term, renewal, transfer, default, and termination rights; and
- independent legal verification in Indonesia.
Do not market “real-asset exposure” unless the proposed investment actually owns or has enforceable rights in an identified asset.
Evidence gate 3: licensing and clinical scope
Indonesia’s OSS system uses risk-based business licensing, and the required approvals depend on the classified activity. An NIB is a business identifier; it is not proof that every operational, building, environmental, health, or professional requirement has been met.
Define every proposed service. A social sauna, hospitality venue, spa, clinic, rehabilitation facility, and provider of medical treatment can fall into different regimes. If healthcare services are proposed, document facility licensing, accreditation where required, clinical governance, and each practitioner’s authorization.
Evidence gate 4: design, construction, and operations
Obtain dated, professional documents for:
- concept and code basis;
- construction budget with contingencies;
- utility, water, drainage, fire, electrical, structural, and accessibility review;
- equipment specifications and maintenance plan;
- humidity, corrosion, sanitation, and water-quality controls;
- insurance;
- incident response and emergency access;
- staffing, training, safeguarding, and complaints; and
- opening schedule with critical dependencies.
A concept image or supplier quote is not a construction plan.
Evidence gate 5: economics
The model should expose, not hide, assumptions:

An aspirational membership story is not market validation.
Evidence gate 6: offering compliance
Any future solicitation requires advice from qualified counsel in every relevant jurisdiction. Calling a page “education” does not determine whether communications, interests, notes, revenue shares, or partnership rights are securities.
If U.S. persons may be approached, the SEC warns that private placements can be highly illiquid, provide limited disclosure, and result in total loss. A Form D, if one exists, is not SEC approval.
